Welcome to ShipShoreGroup (“SSG”).
ShipShoreGroup operates as a maritime operational coordination platform that connects Users with Vendors and licensed executing partners.
SSG does not directly contract for, perform, or execute regulated maritime services. Where regulated maritime services are requested, contracts, quotations, and invoicing are performed solely by the licensed executing entity, Chuusin Ship Management Inc., or other appropriate legal entities.
Chuusin Ship Management Inc. is the licensed entity that contracts, invoices, and executes regulated maritime services where such services are requested. SSG is not a party to regulated service agreements.
By using this Site and the services offered through the Platform, you agree to comply with these Terms.
We may update these Terms from time to time. You agree to review these Terms periodically and to remain bound by them if you continue using the Site.
1. Definitions
- “SSG Coordination Platform” means ShipShoreGroup, the maritime operational coordination platform that oversees, manages, and facilitates connections between Users and Vendors or licensed executing partners.
- “Contracting Entity” means Chuusin Ship Management Inc., the licensed legal entity that enters into service contracts, issues quotations, issues invoices, and executes regulated maritime services.
- “Service Execution” means work carried out by the Contracting Entity or other licensed executing partners. SSG does not directly perform or execute regulated maritime services and shall not be deemed a contracting party or agent in such services.
- “User” means any individual or entity accessing or using the Platform, including registered and non-registered users.
- “Vendor” means businesses or individuals who list their services or products on the Platform.
- “Platform Services” means digital coordination services, directory listing services, and related online services provided by SSG.
- “Listing Services” means digital platform services to list Vendors and products on the SSG directory.
- “Content” means any information, text, images, or data uploaded, posted, or submitted by Users or Vendors.
- “Platform” means the website and related digital services operated by ShipShoreGroup (SSG).
2. Eligibility
- Users and Vendors must be at least 18 years of age and fully able to enter into legal agreements. By using the Platform, you represent and warrant that you meet these eligibility requirements.
- The Platform is primarily available to Users and Vendors operating in [Insert geographical scope, if applicable]. We reserve the right to restrict access to certain users or vendors based on regional limitations.
3. Services Provided
- The Platform offers an online directory of maritime vendors, services, and products to help Users search for and connect with Vendors.
- ShipShoreGroup (SSG) operates as a maritime operational coordination platform and may oversee, coordinate, or manage introductions and communications.
- SSG does not directly contract for or perform regulated maritime services. Any regulated service agreement, quotation, or invoice shall be executed solely by the Contracting Entity (Chuusin Ship Management) or other appropriate licensed partners.
- SSG is not a party to regulated service contracts and does not assume operational liability for such services.
- While SSG may conduct general screening for directory inclusion, SSG does not guarantee the performance, accuracy, or reliability of Vendor services.
- SSG is not a party to regulated service contracts and does not assume contractual obligations associated with regulated maritime services.
- We reserve the right to modify, suspend, or discontinue any part of the Platform without prior notice.
4. User Accounts and Responsibilities
- Account Creation: To access certain features of the Platform, Users and Vendors may need to create an account. You must provide accurate and up-to-date information during registration.
- Account Security: Users and Vendors are responsible for safeguarding their account credentials and agree not to share their password with third parties.
- Termination: We reserve the right to suspend or terminate your account at our discretion, with or without cause, including but not limited to violations of these Terms.
5. Vendor Listings
- Vendors are responsible for providing accurate and up-to-date information in their listings, including services, products, pricing, and contact details.
- The Platform reserves the right to review, approve, or reject any Vendor listings that violate our policies or are deemed inappropriate.
- Listing Fees: If applicable, Vendors may be charged fees for listing or promotional services. Such fees will be outlined during the Vendor registration process.
- Vendors may not list illegal, offensive, or fraudulent products or services.
6. Content Ownership and Usage
- Users and Vendors are responsible for any Content they submit or post on the Platform. By posting Content, you grant the Platform a non-exclusive, royalty-free license to use, distribute, and modify such Content as necessary to operate the Platform.
- Prohibited Content: You may not upload or post Content that is offensive, illegal, defamatory, or otherwise harmful to others.
7. Intellectual Property
- The Platform, including its design, logos, text, and content, is the intellectual property of Ship Shore Group or its licensors.
- Users and Vendors may not copy, reproduce, distribute, or modify any portion of the Platform’s intellectual property without prior written permission.
8. Payments and Transactions
- Vendor Fees and Listing Fees are payments for digital directory, promotional, and platform coordination services provided by SSG. These fees do not constitute payment for regulated maritime service execution.
- Payments for digital platform services are processed through authorized third-party payment providers. SSG does not store or process credit card information directly.
- Service Execution Transactions for regulated maritime services (e.g., husbandry, PMS coordination) are separate contractual arrangements between the User and the Contracting Entity (Chuusin Ship Management Inc.) or other licensed executing partners.
- The Contracting Entity is solely responsible for issuing quotations and invoices for regulated maritime services.
- SSG does not assume responsibility for the performance, execution, or invoicing of regulated services. Any dispute relating to regulated service execution shall be resolved solely with the Contracting Entity.
- For listing and subscription fees, although payments may be processed through the ShipShoreGroup platform or third-party processors, legal billing and invoicing for such fees shall be issued by Chuusin Ship Management Inc, the Contracting Entity.
- Refunds for SSG digital platform services will be handled in accordance with the refund policy provided at the time of payment.
9. Limitation of Liability
- The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied.
- SSG provides digital coordination and platform services only. SSG does not directly perform, contract for, or execute regulated maritime services.
- Any regulated maritime service agreement is entered into solely between the User and the Contracting Entity (Chuusin Ship Management Inc) or other licensed executing partner. SSG is not a party to such agreements.
- SSG shall not be liable for the execution, quality, timing, performance, results, or outcomes of services provided by the Contracting Entity or other licensed partners.
- SSG shall not be responsible for disputes, claims, losses, damages, delays, or liabilities arising from interactions between Users and Vendors or executing entities.
- To the fullest extent permitted by law, SSG shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of business opportunities, or reputational damage.
- In no event shall SSG’s total liability arising from or related to the use of this Platform exceed the amount paid to SSG by you for digital platform services during the preceding 12 months.
- In any event, SSG’s total liability arising from or related to the use of the Platform shall not exceed the total amount paid by the User to SSG for digital listing or subscription services during the preceding twelve (12) months.
10. Indemnification
- Users and Vendors agree to indemnify, defend, and hold harmless Ship Shore Group from any claims, damages, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any intellectual property or privacy rights.
11. Privacy
- We take your privacy seriously. For more information on how we collect and use personal information, please refer to our Privacy Policy.
12. Termination
- Platform’s Right to Terminate: We reserve the right to suspend or terminate your account at any time, with or without cause, including but not limited to violations of these Terms.
- User’s Right to Terminate: You may terminate your account by contacting us and requesting account deletion. Upon termination, your access to the Platform will cease, but any fees already paid will not be refunded.
13. Governing Law
- These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
- Any disputes arising from or related to regulated maritime service agreements shall be resolved solely between the User and the Contracting Entity (Chuusin Ship Management) in accordance with applicable Philippine law.
14. Dispute Resolution
- Disputes relating solely to SSG’s platform services shall be resolved in the courts of Manila, Philippines.
- Disputes relating to regulated service contracts shall be resolved against the Contracting Entity under applicable law in the Philippines.
- Arbitration may be used if mutually agreed in writing, but is not mandatory.
15. Changes to the Terms and Conditions
- We reserve the right to update or modify these Terms at any time. Any significant changes will be communicated to Users and Vendors via email or by posting a notice on the Site. Continued use of the Platform after any changes have been made will constitute your acceptance of the new Terms.
